TERMS AND CONDITIONS OF USE

SFVN INVESTMENT CORPORATION (“SFVN” or “We” or the “Company”), is an official business member of the Vietnam Commodity (“MXV”), providing consulting and brokerage services for derivative commodity transactions to individual, business, and organizational clients (“User” or “You”).

These Terms and Conditions of Use (“Terms”), issued by SFVN and effective from January 1, 2025 until amended, supplemented, or replaced by SFVN, set out the full rights, obligations, and legal responsibilities of Users when accessing, registering an account, and/or using SFVN’s Application.

By registering an account, accessing, downloading, and using SFVN’s Application, Users acknowledge that they have read, understood, and agreed to be bound by these Terms. Users also agree that SFVN may collect, use, disclose, and/or process their personal data as provided in these Terms.

Users further agree and accept that at any time in the future. We reserve the right to modify, amend, add, or remove any part of these Terms to align with SFVN’s business policies at each point in time. Changes shall take effect immediately upon posting on SFVN’s Application without prior notice. Continued use of the Application shall be deemed full acceptance of such modifications, amendments, or supplements.

1. Definitions and Interpretation

   In these Terms, unless otherwise specified, the following terms shall have the same meaning:

   • “Application”: the software product for Users on mobile devices or websites, a technology owned by SFVN INVESTMENT CORPORATION, through which Users utilize products/services provided by SFVN or its Partners.
   • “Products/Services”: products and services provided on the Application, in accordance with the law, including but not limited to those provided by third-party partners of SFVN.
   • “Personal Data”: digital data or other information that identifies or helps identify a specific individual, including basic personal data and sensitive personal data. Personal data, once anonymized, is no longer considered personal data.
   • “User” or “You”: any individual or organization that accesses, registers an account, and/or uses services on SFVN’s Application.
   • “Partner”: any organization/business cooperating with SFVN to provide Services to Users.
   • “Regulatory Authorities”: including MXV, the Ministry of Industry and Trade, and other competent State agencies.
   • “Intellectual Property”: all content, designs, logos, trademarks, data, documents, images, and software on the Website published by SFVN from time to time, legally owned by SFVN.
   • “Transaction(s)”: functions carried out by the User or SFVN on the Application in order to use and provide Features.
2. Legal Agreement between the User and SFVN

   SFVN collects User’s Personal Data for the following purposes:

   1. By accessing, registering, and/or using SFVN’s Application, the User confirms that:
      • They have read, understood, and agreed to be bound by these Terms.
      • They commit to complying with the agreements in these Terms, the operational regulations of MXV, SFVN’s instructions, and the applicable laws in force
   2. In the event the User does not agree with these Terms, they must cease accessing and/or using the Application in any form, as continued use shall be deemed acceptance of and agreement to be bound by these Terms.
3. Registration / Suspension or Termination of Use of Products/Services
   1. Registration for Use of Products/Services
      • To begin accessing and using the features of the Application, the User must create an account, at which point the User agrees that: The User will provide SFVN with complete, updated, and accurate information related to the User as required by SFVN from time to time to use the Products/Services. The User agrees to promptly notify SFVN of any changes to the account registration profile or information previously provided. The User declares and warrants that the user information and other information provided to SFVN are truthful and accurate, and the User takes full responsibility for the information provided on the Application.
   2. Suspension or Termination of Use of Products/Services
      • The User agrees, acknowledges, and accepts that at any time SFVN has the right to suspend or terminate the User’s account, or the User’s access to and use of the Products/Services, in whole or in part, for any reason that SFVN deems appropriate and necessary. This includes but is not limited to cases where the User violates any provision of these Terms, contravenes or breaches any regulations, policies, or applicable laws relating to the use of the Products/Services, or where it is required for the common interest, integrity, and safety of other Users of the Application.
      • Furthermore, SFVN reserves the right to notify competent state authorities and/or related individuals or organizations about the User’s aforementioned violations.
4. Rights and Obligations of Users
   • To be provided with an account, including a username and password, upon registering to use Products/Services on the Application.
   • To enjoy preferential/promotion policies as determined by SFVN from time to time.
   • To have the right to contribute opinions during the process of using the Application.
   • To have the right to share information about Products/Services on SFVN’s Application or promotional programs on other information channels, provided such sharing is not for commercial purposes and ensures the accuracy and objectivity of the shared information.
   • To provide accurate and complete information when registering an account, updating, editing, and/or when requested by SFVN. The User shall be responsible for the accuracy of the information provided to SFVN and shall indemnify SFVN in the event of providing falsified or untruthful information.
   • To be solely responsible for maintaining the confidentiality of the account, password, and all activities under the username issued by SFVN. The User must promptly notify SFVN of any unauthorized use, abuse, or security breaches relating to the User’s account.
   • Not to use the Application for fraudulent activities, money laundering, dissemination of malware, violation of laws, or infringement upon the rights of third parties.
   • Not to attempt to access or interfere with the hardware or software systems used to operate the Application.
   • To comply with the rules/regulations of MXV and the Regulatory Authorities.
5. Rights and Obligations of SFVN
   • To be responsible for operating the Application, providing Products/Services in accordance with the law, and/or cooperating with Partners to fulfill obligations to Users under these Terms.
   • To ensure full and transparent disclosure of information related to Services, promotional programs, and offers at each point in time, in compliance with applicable laws.
   • To protect Users’ Personal Information during the use of the Application.
   • To have the right to suspend or terminate access/use without prior notice if the User violates the commitments in these Terms. In addition, SFVN has the right to refuse to provide Services if the User fails to meet the legal conditions required by SFVN from time to time.
   • To use its best efforts, within its permitted scope and conditions, to maintain the normal operation of the Website; to troubleshoot, modify, repair, upgrade, or suspend services when technical issues occur. In cases where such issues arise beyond SFVN’s control and constitute force majeure, causing damage to the User, SFVN shall not bear any related liability.
   • To receive and resolve complaints or disputes from Users arising during the use of SFVN’s Services, making best efforts to protect the legitimate rights and interests of Users.
6. Intellectual Property
   • All intellectual property is and shall always remain the property of SFVN and its authorized organizations/agents (if any). All intellectual property rights are protected by copyright laws and international conventions. All rights are reserved.
   • Except as expressly permitted under these Terms, Users may not use, edit, publish, reproduce, translate, create derivative works from, distribute, or otherwise exploit, reuse, copy, modify, or make public any intellectual property in any manner without prior written consent from SFVN. Users may not assist or enable any third party to use intellectual property in any way that constitutes an infringement of SFVN’s intellectual property rights and/or other related rights.
7. Disclaimer and Indemnity
   1. Disclaimer
      • Under all circumstances, SFVN shall not be liable for damages arising from the use of or inability to use the Application due to system interruptions, technical errors, force majeure events, viruses, or external links.
      • The Application is designed to provide information, online services, and other support to Users. All content on the Application shall not be construed in any form, whether explicit or implied, as investment advice or as a profit guarantee from SFVN.
      • By using the Application, the User acknowledges that the use of the Application is at their own risk. The User acknowledges full responsibility for costs related to the use of the Application, as well as the risks relating to their own investments made through the Application. SFVN shall not be liable for any damages of any kind relating to the User’s use of the Application and their investments.
   2. Indemnity

      The User agrees to indemnify and hold SFVN harmless against any and all liabilities and expenses (including but not limited to legal fees and costs) arising from any claims resulting from a breach of these Terms, and releases SFVN from any claims, losses, or related expenses.

8. General Provisions
   • These Terms form an inseparable part of SFVN’s application dossier for providing Products/Services and shall be construed and governed by the laws of Vietnam.
   • Any dispute arising from or relating to these Terms shall be resolved by negotiation and mediation between the Parties. In the event such negotiation and mediation fail, the Parties unanimously agree to submit the dispute to the Vietnam International Arbitration Centre (“VIAC”) for resolution in accordance with VIAC’s arbitration rules.
   • These Terms are effective from the date of issuance by SFVN, as stated at the beginning.
   • These Terms shall be binding upon the heirs, personal and legal representatives, successors in ownership, and permitted assigns (if any) of the User.
